Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Zokit mobile application, our website at www.zokit.in, and all related services (together, the "Platform"), operated by Zokit Technologies Private Limited ("Zokit", "we", "us" or "our"), a company incorporated under the Companies Act, 2013, with its registered office in Mysore, Karnataka, India.

These Terms constitute a legally binding agreement between you and Zokit. By creating an account, accessing or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Platform.

This document is an electronic record under the Information Technology Act, 2000 and does not require any physical or digital signature.

2. Nature of the Platform

Zokit supplies construction materials. Zokit purchases goods from local Suppliers, takes ownership of them, and sells and delivers them to Buyers in its own name through the Platform. The Platform is the channel through which you browse Zokit's catalogue, place Orders, pay and track delivery.

Zokit is the seller. Every contract of sale on the Platform is between you and Zokit Technologies Private Limited. Zokit issues the tax invoice for your Order, is responsible to you for the goods it sells, and handles all communication about your Order before and after delivery. Suppliers and Delivery Partners are Zokit's vendors, not parties to your purchase.

Zokit is an inventory e-commerce entity for the purposes of the Consumer Protection (E-Commerce) Rules, 2020. Nothing in these Terms limits any rights you have under the Consumer Protection Act, 2019 and those Rules.

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to use the Platform. By using the Platform, you represent that you meet these requirements. Suppliers and Delivery Partners must additionally be validly registered or licensed to carry on their respective business or activity under applicable law.

4. Accounts and Authentication

4.1 Electronic Communications

By using the Platform, you consent to receive communications from us electronically, including transactional and service messages relating to your Orders and account, via SMS, push notification, email or in-app messaging. Service and transactional communications are a necessary part of using the Platform. You may opt out of promotional communications at any time; opting out will not affect essential service messages.

Cancellation, return and refund of Orders are governed by our Refund & Cancellation Policy, which forms part of these Terms. Delivery timelines, charges and serviceable areas are described in our Shipping & Delivery Policy.

7. Goods, Suppliers and Zokit's Responsibility

Zokit is responsible to you for the goods it sells. Zokit undertakes that:

Suppliers sell goods to Zokit under a separate Supplier Terms & Agreement, under which they warrant the goods to Zokit. That agreement is between Zokit and the Supplier and does not reduce Zokit's responsibility to you.

8. Responsibilities of Delivery Partners

Delivery Partners undertake to deliver Orders safely, on time and in good condition, to conduct themselves lawfully and professionally, and to comply with these Terms and any separate Delivery Partner agreement presented during onboarding.

Delivery Partners are independent service providers and not employees of Zokit.

You agree not to:

We may remove content and suspend or terminate access for violations, and cooperate with authorities where required by law.

10. Intellectual Property

The Platform, including its software, design, logos, trademarks and content (excluding content supplied by manufacturers or Suppliers), is owned by or licensed to Zokit and protected by applicable laws. You may not copy, modify, distribute or create derivative works from it without our prior written consent. "Zokit" and related marks are the property of Zokit Technologies Private Limited.

10.1 Feedback

If you send us suggestions, ideas or feedback about the Platform, you grant us an unrestricted, royalty-free right to use them without any obligation or compensation to you. We will treat such feedback as non-confidential.

11. Third-Party Services

The Platform integrates third-party services, including (where applicable) a payment gateway, mapping and location services, and communication services. Your use of those services may be subject to their own terms and policies. Zokit is not responsible for third-party services beyond its reasonable control.

12. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Zokit disclaims all warranties, express or implied, regarding the Platform itself, including that it will be uninterrupted, error-free or secure. This disclaimer does not apply to the goods Zokit sells: those are covered by Section 7, by the manufacturer's warranty, and by our Refund & Cancellation Policy, and nothing here limits your statutory rights as a consumer.

13. Limitation of Liability

To the maximum extent permitted by law, Zokit and its directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising out of or relating to your use of the Platform. Zokit's total aggregate liability for any claim arising out of or relating to the Platform shall not exceed the value of the specific Order giving rise to the claim.

14. Indemnity

You agree to indemnify and hold harmless Zokit and its directors, employees and agents from any claims, damages, losses, liabilities and expenses (including legal fees) arising out of your use of the Platform, your breach of these Terms, or your violation of any law or third-party right.

15. Suspension and Termination

We may suspend or terminate your access to the Platform, with or without notice, if you breach these Terms, if required by law, or to protect the Platform or its users. You may stop using the Platform and request account deletion at any time as described in our Privacy Policy. Provisions that by their nature should survive termination will survive.

16. Grievance Redressal

For any complaints or grievances relating to the Platform, Orders, or content, you may contact our Grievance Officer using the details at the end of these Terms. In accordance with the Consumer Protection (E-Commerce) Rules, 2020, we acknowledge complaints within 48 hours and endeavour to resolve them within 30 days.

17. Force Majeure

Zokit shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, floods, fire, epidemics or pandemics, war, riots, strikes, civil unrest, government actions or restrictions, failure of telecommunications or internet services, power outages, or disruptions to transport or supply chains.

18. Dispute Resolution

If you have a dispute or concern relating to these Terms or the Platform, please first raise it with our Grievance Officer using the details below, so that we can try to resolve it quickly and amicably. Most issues can be resolved this way.

If a dispute cannot be resolved amicably, it shall be subject to the governing law and jurisdiction set out below. Nothing in these Terms affects your right as a consumer to approach the consumer disputes redressal forums established under the Consumer Protection Act, 2019.

19. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to the Dispute Resolution clause above and any right you may have under applicable consumer protection law, the courts at Mysore (Mysuru), Karnataka shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Platform.

We may modify these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
